(NYSE: NCL) (“Northann” or the “company”) is pleased to announce that the US Securities and Exchange Commission is declaring its S-1 registration declaration in the changed version (the “Registration Declaration”) (file no. 333-284033) Effective from February 6, 2025 at 4:00 p.m. This milestone marks a considerable step forward on the company's journey to increase the shareholder value and further expand its presence in the innovative and sustainable building materials industry.
In the registration declaration, the resale of up to 30.084,400 ordinary shares of the company (the “registered shares”) were entered in connection with various strategic agreements, including employment agreements, private internships and advisory service agreements. The registered shares can be sold by public or private transactions at prevailing market prices or privately negotiated prices. The company receives no proceeds from the resale of these shares.
